What is a Certificate of Good Standing?

It does not speak to the financial health of a business, only its compliance status with the state.

How long does it take to receive my certificate?

Processing time depends on the option you select and the state your business is registered in. With our Standard Processing, most certificates are delivered within 1-3 days. With our Expedited Processing option, most orders are completed the same day. Some states have longer processing queues during peak periods, and we will notify you immediately if there is any delay affecting your order.

What states do you service?

We service all 50 U.S. states plus the District of Columbia, including Delaware, California, New York, Texas, Florida, and every state in between. We have established processes for working with each state Secretary of State office (or equivalent agency), which allows us to handle your order efficiently regardless of where your business is registered. Simply select your state when placing your order.

What information do I need to provide?

To process your order, we typically need: your exact legal business name as registered with the state, your state of formation or registration, your entity type (LLC, Corporation, Partnership, etc.), and optionally your state-assigned entity ID number (this speeds up processing). For most orders, that is all we need. We will reach out if we require any additional information specific to your state.

How will I receive my certificate?

Your Certificate of Good Standing will be delivered as an official PDF document via email. The document is the same state-issued certificate you would receive if you requested it directly from the state. It is digitally certified and accepted by banks, lenders, courts, investors, and other parties who require proof of good standing. A secure download link will be sent to the email address you provide at checkout.

Can I expedite my order?

Yes. Our Expedited Processing option prioritizes your order, moves it to the front of our queue, and we submit a rush filing directly to the state agency. This typically reduces turnaround time to same-day delivery. Note that some states may still impose their own mandatory processing windows that we cannot control. We will always set accurate expectations when you place your order.

What if my business is not in good standing?

Accepted Answer

If your business is not currently in good standing — for example, due to overdue annual reports, unpaid fees, or administrative dissolution — we will notify you promptly after submitting your order to the state. In many cases, we can assist you with the reinstatement process for an additional service fee. Alternatively, you will need to resolve the underlying issues with the state before a Certificate of Good Standing can be issued. We will guide you through the next steps.

Do you offer refunds?

We offer a full refund if we are unable to obtain your Certificate of Good Standing due to a reason within our control. If your business is not currently in good standing or if state-specific conditions prevent issuance, our service fee is non-refundable once we have submitted the order to the state, but state fees collected will be refunded in full.
